Terms of Service

This document contains the general terms and conditions governing the access and use of services provided by Title Solutions, S.A. de C.V. and/or Title Solutions de México III, S.A. de C.V., collectively referred to as (“Title Solutions”), with a registered address at Plaza Progreso Interior 80, Carretera Federal Mz. 293, Lote 001-01, Colonia Ejido, Playa del Carmen, Quintana Roo, C.P. 77712, Mexico, through the brand AHEAD Legal (“AHEAD Legal”), including the digital platform https://aheadlegal.es and/or mobile applications (“Terms and Conditions”).

Title Solutions de México III, S.A. de C.V. entered into a service provision and brand exploitation agreement with Title Solutions de México, S.A. de C.V., the owner of the AHEAD Legal software and trademarks.

1. DEFINITIONS

A. Title Solutions operates a platform that enables users to access, contact suppliers registered by users, and manage user files related to real estate services provided by the user (“AHEAD Legal”).

As such, AHEAD Legal is a platform designed exclusively for the capture, management, and automated generation of documents related to real estate services. It does not provide legal, financial, or professional consulting services.

B. The term “User” refers to an individual who activates an account, accesses, browses, explores, or otherwise uses AHEAD Legal, who has the legal capacity to be bound by these Terms and Conditions and is over 18 years of age.

2. TERMS AND CONDITIONS

The User is obligated to read, understand, and accept the Terms and Conditions outlined herein. If the User does not accept these Terms and Conditions, they must refrain from using AHEAD Legal.

By accessing or using AHEAD Legal, the User expressly and unreservedly agrees to be bound by these Terms and Conditions, releasing Title Solutions from any liability related to its use.

3. MODIFICATION OF THE TERMS AND CONDITIONS

Title Solutions reserves the right to modify, update, or adapt the Privacy Notice and these Terms and Conditions to improve them, align with new regulations, or for other purposes. If the User does not accept the updated Terms and Conditions, they must refrain from using AHEAD Legal.

At the end of this document, Title Solutions will indicate the date and time of the most recent modifications to the Terms and Conditions.

However, Title Solutions will notify the User of significant changes to these Terms and Conditions via the email address provided by the User.

4. SUBLICENSE OF USE

In accordance with these Terms and Conditions, Title Solutions grants the User a non-exclusive, limited, non-transferable, and revocable sublicense to use AHEAD Legal. Title Solutions reserves all rights not expressly granted to the User in these Terms and Conditions.

Title Solutions reserves the right to revoke the User’s sublicense at any time and for any reason.

5. ACCESS, USER DATA, USE, INFORMATION, AND PASSWORDS

To access and use AHEAD Legal, the User must provide the information requested by Title Solutions, which may include (i) full name or company name, (ii) address, (iii) phone numbers, (iv) password, among others. Personal data provided by the User is protected in accordance with the Federal Law on Protection of Personal Data Held by Private Parties, as outlined in the Privacy Notice.

The User agrees to provide accurate information that they are authorized to share. Title Solutions will not be responsible for incorrect or unauthorized data provided by the User.

The User is entitled to use AHEAD Legal and the information, content, images, and works contained in AHEAD Legal and its informational web pages to obtain general information about AHEAD Legal’s services, provided they comply with these Terms and Conditions.

The User agrees to use AHEAD Legal solely for its intended purposes and not for illegal activities or purposes unrelated to the services offered by Title Solutions.

The User agrees not to allow any employee, supplier, collaborator, company official, or third party to alter, modify, adapt, reproduce, copy, translate, create derivative works, compile, reverse engineer, disassemble, or otherwise attempt to access or decipher any integration of AHEAD Legal.

The User is responsible for their use of AHEAD Legal. The User is solely responsible for entering, managing, updating, or modifying any information in AHEAD Legal. The User is solely responsible for the information they capture and store in AHEAD Legal. It is recommended that the User back up any information entered into AHEAD Legal.

The User assumes full responsibility for the use, review, modification, and application of documents generated by AHEAD Legal. It is the User’s sole responsibility to ensure that such documents comply with applicable laws and regulations and to consult a qualified legal professional when necessary. Title Solutions will not be liable for errors, omissions, or consequences arising from the use of these documents.

The User agrees to protect their account information and is fully responsible for any use of the account by anyone other than the User. The User must use secure passwords.

Title Solutions, its affiliates, or subsidiaries will not be liable for any breach of this clause. Title Solutions reserves the right to block, deactivate, or cancel the User’s account for any reason or circumstance.

The User must immediately notify Title Solutions in writing of any security breach they become aware of.

The User is responsible for ensuring that their use of AHEAD Legal complies with all local laws and regulations applicable to real estate transactions.

Title Solutions offers various subscription plans with specific features (e.g., storage, file transfer), which will be detailed at the time of contracting.

6. VALIDITY

The Terms and Conditions between the User and Title Solutions, through the AHEAD Legal brand, are effective indefinitely.

The User may terminate AHEAD Legal services by providing written notice to Title Solutions 30 days in advance. The User must settle any outstanding payments.

All provisions of the Terms and Conditions that, by their nature, should remain in effect after termination will continue to apply, including but not limited to provisions regarding ownership, confidential information, warranty disclaimers, indemnities, and limitations of liability.

Title Solutions may offer free trial periods, subject to specific conditions communicated to the User at the start of the trial. Access during the trial period does not obligate the User to subscribe.

7. PAYMENTS

Access and use of AHEAD Legal are contingent upon the User being current on service fees. If the User is not up to date with payments, they will be unable to access or use AHEAD Legal.

Payments must be made within the first five (5) business days of the month. Upon receipt of payment, Title Solutions will issue the corresponding digital tax receipt (CFDI). In case of payment delays beyond five business days, Title Solutions may apply late fees or suspend access until payment is regularized.

Payments are non-refundable, in whole or in part, under any circumstances.

Service fees and access to AHEAD Legal may be modified by Title Solutions at any time. Title Solutions will notify the User of any changes. Any fee adjustments will take effect no earlier than 30 calendar days following the notification.

To use AHEAD Legal services, Title Solutions will provide the User with payment methods, which may include bank transfers to an account owned by Title Solutions, credit card, online payment methods, or similar options.

AHEAD Legal services renew automatically each month unless the User notifies cancellation as outlined in Clause 8.

8. CANCELLATION OF SERVICE

The User may cancel their AHEAD Legal plan at any time by providing written notice to Title Solutions 30 days in advance. The User will continue to have access to the service until the end of their current billing period. If the User cancels their plan, their account will automatically close at the end of the billing period active at the time of cancellation. Title Solutions may, in some cases, retain certain User information as required by law or for legitimate business purposes, to the extent permitted by law.

No refunds or prorated adjustments will be made for cancellations before the end of the billing period.

9. DATA HANDLING

Upon cancellation of the service for any reason, the User will have 10 calendar days to download all their information. After this period, the information will be permanently deleted and cannot be recovered, as Title Solutions will proceed to erase the information, files, and database records. Title Solutions will not be liable for the loss of information not backed up by the User.

The User acknowledges and agrees that Title Solutions may block access to their account if it remains inactive for more than 30 days. The account may be reactivated at no cost, provided the User is current on payments.

Title Solutions may, at its sole discretion, temporarily suspend or permanently deactivate the User’s account without prior notice if it deems the User has violated the Terms and Conditions, in which case all information related to the account will be deleted.

10. LIMITATION OF LIABILITY

AHEAD Legal services are provided to Users “as is,” with no warranties of any kind, express or implied.

The User’s use of AHEAD Legal and its available services is at their own risk. Accordingly, Title Solutions, its affiliates, or subsidiaries assume no liability for the use of AHEAD Legal or any industrial or intellectual property related to it.

Under no circumstances will Title Solutions, its directors, employees, agents, partners, suppliers, subsidiaries, affiliates, allies, or content providers be liable in connection with the services and/or these Terms and Conditions, including (i) for any indirect, incidental, punitive, or consequential losses, information, services, or damages of any kind, and/or (ii) for any “virus” or similar element, regardless of its source.

AHEAD Legal is not a provider of legal, financial, or professional advice, and the documents generated are administrative support tools. Title Solutions does not guarantee their accuracy, legality, suitability, or validity for specific purposes, and the User accepts that their use is at their own risk.

11. TRADEMARKS

The platform may contain the AHEAD Legal trademark or other trademarks owned by Title Solutions, its subsidiaries, or affiliates. All trademarks belong to their respective owners and may not be used without the owner’s consent. Title Solutions reserves all rights to intellectual and industrial property elements. Access to AHEAD Legal does not grant the right to copy or use the intellectual property of Title Solutions, the owner of the AHEAD Legal software and trademarks, its affiliates, subsidiaries, or suppliers.

AHEAD Legal is a registered trademark under Mexican law, and its owner holds the copyright and industrial property rights, commercial notices, trademarks, and all intellectual and industrial property rights associated with AHEAD Legal’s content, protected by applicable Mexican industrial property and copyright laws. Therefore, Users and/or third parties are not authorized to use, modify, reproduce, distribute, adapt, or otherwise exploit AHEAD Legal, in whole or in part.

Unless otherwise stated in these Terms and Conditions, the images, graphics, interfaces, and texts contained in the informational website and AHEAD Legal are the exclusive property of Title Solutions or their respective owner. They may not be copied, distributed, displayed, reproduced, or transmitted in any form or by any means, whether electronic, photocopy, recording, or otherwise, except for personal use and with prior written consent from Title Solutions.

The content, organization, graphics, design, text, materials, compilation, and other aspects of Title Solutions are protected by intellectual property and copyright laws in Mexico. Any unauthorized use, copying, reproduction, redistribution, or publication, in whole or in part, is expressly prohibited by law.

13. VIOLATIONS OF INTELLECTUAL AND INDUSTRIAL PROPERTY RIGHTS

The User must immediately notify Title Solutions in writing of any violation or imminent infringement of any intellectual or industrial property rights sublicensed herein of which they become aware. The User may not take any legal action to protect these rights, and Title Solutions is not obligated to pursue such actions. The User waives any claims or rights to compensation against Title Solutions for actions initiated by third parties alleging violations of their intellectual or industrial property rights.

Title Solutions reserves the right to pursue all civil and criminal actions to safeguard its legitimate intellectual and industrial property rights.

14. SYSTEM FAILURES

AHEAD Legal may occasionally be unavailable due to technical difficulties, internet failures, or other circumstances beyond Title Solutions’ control. In such cases, Title Solutions will strive to restore the service as quickly as possible, without incurring any liability.

15. THIRD-PARTY WEBSITES

AHEAD Legal may link to other websites, platforms, or internet resources, and other websites or platforms may contain links to AHEAD Legal. The User acknowledges and agrees that they access third-party websites and platforms at their own risk. Title Solutions, its subsidiaries, affiliates, or personnel will not be liable for the User’s use of such third-party platforms or websites. This includes any third-party integrations enabled through AHEAD Legal.

Title Solutions will not be liable for delays, errors, or failures by third parties (such as notaries, banks, or suppliers) contacted through AHEAD Legal. The User acknowledges that such interactions are their responsibility.

16. NOTIFICATIONS

By providing their email address to AHEAD Legal, the User agrees that this email will be used to receive all notifications related to the services and/or these Terms and Conditions. If the User does not consent to receiving electronic notifications, they must discontinue using AHEAD Legal.

17. APPLICABLE LAW

In the event of any dispute, disagreement, issue, or claim arising from the execution or interpretation of these Terms and Conditions or the service, the parties expressly submit to the applicable laws of Cancún, Quintana Roo, Mexico, waiving any other jurisdiction that may apply and agreeing to the jurisdiction of the Courts and Tribunals of Cancún, Quintana Roo, Mexico.

The User acknowledges and agrees that Title Solutions has the right to share any data and/or information with the relevant authorities and/or third parties when Title Solutions deems it reasonably necessary or appropriate to enforce and/or verify compliance with any part of these Terms and Conditions and/or a third-party claim that the User’s use of the services is illegal and/or violates the rights of said third party.

18. CONFIDENTIAL INFORMATION

The User acknowledges that all oral or written confidential information provided by Title Solutions or accessed through AHEAD Legal constitutes a trade secret that provides a competitive and economic advantage in the commercial activities of its owner. The owner has taken and continues to take all actions and precautions to preserve the confidentiality of this information, with restricted access. The User further acknowledges that this confidential information pertains to technical elements, work methods, procedures, and other distinguishing features. The User also recognizes that the confidential information is not in the public domain, is not obvious to a technician in the field, has not been previously disclosed, and is not required to be disclosed by law or authority. The User agrees never to: (i) disclose such confidential information to third parties; or (ii) use the information for purposes other than those outlined in these Terms and Conditions. These obligations will survive the termination of the service and/or these Terms and Conditions for any reason until the information enters the public domain for reasons other than the User’s breach.

If the User is legally required to disclose all or part of the information accessed through the service to any public or private entity, the User must immediately notify Title Solutions in writing, and in any case, at least seven days prior to complying with such a requirement, so that Title Solutions may pursue legal actions to suspend the requirement and/or waive compliance with the provisions of this document.

The obligations in this clause are legally binding and applicable to the User, whether acting on their own behalf or through an individual or legal entity, their directors, staff, employees, or collaborators.

19. CONTRACT ASSIGNMENT

The User may not transfer or assign their rights to a third party without prior written authorization from Title Solutions.

Title Solutions may assign the rights and obligations of the services and/or these Terms and Conditions to any individual or entity it deems appropriate, who will assume them from the moment the assignment is formalized. The assignment will be duly notified to the User so that they engage with the assignee once the transfer is effective. The User agrees to accept the change of Title Solutions, waiving any claims or legal actions related to this matter.
